Terms of Service
Clear and fair terms for using Cyntex AI voice agent services at your dealership.
1. Services
We provide AI-powered reception and call handling services, including 24/7 inbound call coverage and integrations with dealership systems. Our services are designed specifically for automotive dealerships and include lead qualification, appointment booking, and customer inquiry management.
2. Payment
Services are billed monthly in advance via Stripe. Payment terms:
- Monthly subscription charges are due on your billing date
- Late payments over 14 days may result in service suspension
- Overage charges for calls exceeding plan limits apply at standard rates
- All prices are in EUR and exclude applicable VAT
3. Data & GDPR
We process personal data on your behalf as a data processor. Our comprehensive Data Processing Agreement (DPA) forms part of these terms and ensures full GDPR compliance:
- All data processing occurs within the EU or under approved transfer mechanisms
- We maintain appropriate technical and organizational measures
- Data breach notifications provided within 72 hours as required
- Customer retains full control as data controller
4. Service Levels
We commit to the following service standards:
- Target uptime: 99.9% monthly availability
- Call response: AI agent answers within 3 rings
- Support response: Within 1 business day for standard support
- Data processing: Real-time call transcription and analysis
5. Customer Responsibilities
To ensure proper service delivery, customers must:
- Provide accurate dealership and inventory information
- Maintain proper phone system integration and connectivity
- Comply with applicable automotive regulations and data protection laws
- Use services only for legitimate automotive business purposes
6. Liability
Our liability terms under Irish law:
- Total liability is capped at the total fees paid in the 3 months preceding the incident
- No liability for indirect, consequential, or special damages
- Services provided with reasonable care and skill
- Technology Errors & Omissions and Cyber Liability insurance maintained
7. Termination
Either party may terminate this agreement:
- Customer termination: 30 days' written notice required
- Service provider termination: For material breach with 30-day cure period
- Data export: 90-day window to export call data and records
- Refunds: Pro-rated refund for unused subscription period
8. Intellectual Property
Service licensing and intellectual property rights:
- Services are licensed, not sold, for customer's business use only
- AI models and training data remain Cyntex proprietary technology
- Customer retains ownership of their business data and call records
- No reverse engineering or extraction of AI models permitted
9. Governing Law
This agreement is governed by Irish law and subject to the jurisdiction of Irish courts. Any disputes will be resolved through good faith negotiation followed by Irish commercial arbitration if necessary.
